Terms of Use

These are the rules of the road for using SoulPower. We've kept the language as plain as we can while making sure it does its job. By using SoulPower, you agree to these terms.

These Terms of Use ("Terms") form a binding agreement between you and RUDDY MARKETING INC. ("SoulPower," "we," "us," or "our") governing your use of the SoulPower mobile app, website at soulpower.app, and related services (collectively, "the Service").

1. Accepting These Terms

By creating an account, downloading the app, or using SoulPower in any way, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you may not use the Service.

2. Eligibility

You must be at least 18 years old to use SoulPower. By using the Service, you represent that you meet this age requirement and that you have the legal capacity to enter into these Terms in your jurisdiction.

3. Your Account

You're responsible for keeping your account credentials secure and for all activity that happens under your account. If you suspect unauthorized access, contact us right away at support@soulpower.app. We're not liable for losses caused by unauthorized account use unless those losses result from our failure to follow our security commitments in our Privacy Policy.

4. Subscriptions, Pricing, and Auto-Renewal

4.1 Pricing. SoulPower offers paid subscriptions at the prices shown in the app or on our website at the time you subscribe. Our current plan is $39.99 per year. We may offer additional plans or change pricing over time; any price change will be announced before it takes effect and will not affect your current term.

4.2 Auto-renewal. Subscriptions purchased through the Apple App Store or Google Play renew automatically at the end of each billing period unless you cancel at least 24 hours before the renewal date. You can manage and cancel your subscription in your App Store or Google Play account settings.

4.3 Refunds. Refund requests are handled by Apple or Google according to their policies. We're happy to support refund requests where appropriate, but we don't process payments directly and can't issue refunds for subscriptions purchased through the app stores.

5. Free Trial

We currently offer a 3-day free trial with the annual plan. The trial's duration, what's included, and what happens at the end are disclosed at the point of signup. Unless you cancel at least 24 hours before the trial ends, the trial will convert to a paid subscription and you'll be charged the then-current price.

6. License to Use SoulPower

Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, revocable license to access and use SoulPower for your personal, non-commercial use. We retain all rights, title, and interest in the Service and everything that powers it.

7. Your Content

"Your Content" includes anything you provide to SoulPower — your voice recording, the goals you set, custom inputs, and any other content. You retain ownership of Your Content.

By using SoulPower, you grant us a limited license to use, store, process, and reproduce Your Content solely for the purpose of providing the Service to you (for example, generating manifestations in your voice and syncing them across your devices). This license ends when you delete the relevant content or your account, except as needed for legitimate ongoing operations (like backup retention for security).

You confirm that Your Content is yours to share — that you have all necessary rights, that it doesn't violate anyone else's rights, and that you're not impersonating another person's voice or identity.

8. AI-Generated Content

SoulPower uses AI to generate manifestation content tailored to your goals and to render audio in your voice. The generated content is provided to you for personal use. While we work to make the content useful and on-tone, AI systems can sometimes produce unexpected output, and we make no warranties about the specific results you'll experience.

9. Acceptable Use

Don't:

  • Use SoulPower for anything illegal or that violates someone else's rights.
  • Try to clone or upload audio that isn't your own voice (impersonation is prohibited).
  • Reverse-engineer, scrape, or attempt to extract source code, models, or other users' data.
  • Interfere with or disrupt the Service, or attempt to gain unauthorized access to it.
  • Resell, sublicense, or commercially exploit the Service without our written permission.

10. Wellness, Not Medical Advice

SoulPower is a personal-development and wellness tool. It is not a medical device and does not provide medical, psychological, or therapeutic advice, diagnosis, or treatment. SoulPower is not a substitute for professional care. If you are experiencing a medical or mental-health concern, please consult a qualified professional. If you are in crisis, contact your local emergency services.

11. Limitation of Liability

To the maximum extent permitted by law, SoulPower and RUDDY MARKETING INC. are not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the 12 months before the claim arose. The Service is provided "as is" and "as available," without warranties of any kind except those that cannot be disclaimed by law.

12. Indemnification

You agree to indemnify and hold harmless RUDDY MARKETING INC. and its officers, employees, and agents from any claims, losses, or expenses (including reasonable legal fees) arising out of your misuse of the Service, your violation of these Terms, or your violation of any law or third-party right.

13. Termination

You may stop using SoulPower and delete your account at any time. We may suspend or terminate your access if you violate these Terms or use the Service in a way that creates risk or legal exposure for us or others. On termination, your right to use the Service ends; sections that by their nature should survive (such as ownership, disclaimers, limitation of liability, and indemnification) will survive.

14. Changes to the Service or These Terms

We may modify the Service over time — adding features, removing features, or changing how things work. We may also update these Terms. When we make material changes to the Terms, we'll update the "Effective" date and notify you in the app or by email. Your continued use of the Service after changes take effect means you accept the new Terms.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Before filing any formal claim, you agree to first contact us at support@soulpower.app and attempt to resolve the dispute informally for at least 30 days. If we can't resolve it, any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Orange County, Florida, and you consent to their jurisdiction.

16. Miscellaneous

These Terms (together with our Privacy Policy) are the entire agreement between you and us regarding the Service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce any provision isn't a waiver of our right to enforce it later. You may not assign these Terms; we may assign them to an affiliate or successor.

17. Apple-Specific Terms

If you downloaded SoulPower from the Apple App Store, the following additional terms apply: these Terms are between you and us, not Apple, and we are solely responsible for the Service. Apple has no obligation to provide maintenance or support. In the event of a failure of the Service to conform to a warranty, you may notify Apple, who will refund the purchase price; beyond that, to the maximum extent permitted by law, Apple has no warranty obligation. Apple is a third-party beneficiary of these Terms with the right to enforce them.
